Acceptance of Terms

By accessing and using the services provided by LunarPath AG ("LunarPath", "we", "our", or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use our service.

These Terms of Service constitute a legally binding agreement between you and LunarPath AG, a company registered in Germany with registration number HRB854796, located at Friedrichstraße 13, 45302 Essen, North Rhine-Westphalia, Germany.

Description of Services

LunarPath provides education grant application guidance and support services for fitness professionals. Our services include but are not limited to:

• Grant research and identification
• Application development and writing support
• Document preparation and review
• Interview preparation and coaching
• Ongoing consultation and support

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

User Obligations

By using our services, you agree to:

• Provide accurate, complete, and truthful information
• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes
• Respect the intellectual property rights of LunarPath and third parties
• Not interfere with or disrupt our services or servers
• Comply with all applicable laws and regulations
• Cooperate fully in the grant application process
• Promptly notify us of any changes to your circumstances that may affect your applications

You are responsible for all activities that occur under your account and for maintaining the security of your personal information.

Service Limitations and Disclaimers

Whilst we strive to provide high-quality guidance and support, we cannot guarantee the success of any grant application. Grant approvals are at the sole discretion of the respective funding organisations.

Our services are advisory in nature, and you retain full responsibility for all decisions related to your education and career. We do not provide legal, financial, or tax advice unless specifically stated and provided by qualified professionals.

Information provided through our services is based on our knowledge and experience but may not be complete or up-to-date. You should verify all information independently before making important decisions.

Payment Terms

Payment terms will be specified in your service agreement. Unless otherwise stated, payments are due within 30 days of invoice date. Late payments may be subject to interest charges as permitted by law.

All fees are quoted in Euros and exclude applicable taxes unless otherwise specified. You are responsible for any applicable taxes, duties, or government charges.

Intellectual Property

All content, materials, and resources provided by LunarPath, including but not limited to text, graphics, logos, software, and methodologies, are the intellectual property of LunarPath or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our materials without our express written permission. Any feedback or suggestions you provide regarding our services may be used by LunarPath without restriction.

You retain ownership of any personal information and documents you provide to us, whilst granting us a licence to use such materials solely for the purpose of providing our services to you.

Confidentiality

We understand the sensitive nature of the information you share with us. LunarPath commits to maintaining the confidentiality of your personal and professional information in accordance with our Privacy Policy and applicable data protection laws.

You likewise agree to maintain the confidentiality of any proprietary methodologies, strategies, or information shared by LunarPath during the course of our service relationship.

Limitation of Liability

To the maximum extent permitted by law, LunarPath's total liability to you for any claims arising from or related to our services shall not exceed the amount you paid to LunarPath for the specific services giving rise to the claim.

LunarPath shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless LunarPath, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

Termination

Either party may terminate the service relationship at any time with written notice. Specific termination terms will be outlined in your service agreement.

LunarPath reserves the right to terminate services immediately if you breach these terms or engage in conduct that we determine, in our sole discretion, to be harmful to our business or other clients.

Upon termination, you remain liable for all charges incurred up to the termination date, and we will provide any completed work products as specified in your service agreement.

Force Majeure

LunarPath shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law principles.

Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Essen, Germany, or such other courts as may have jurisdiction under German law.

Dispute Resolution

We encourage the resolution of disputes through direct communication. If you have any concerns about our services, please contact us first to seek an amicable resolution. If direct resolution is not possible, disputes may be resolved through mediation or arbitration as agreed upon by both parties.

Modifications to Terms

LunarPath reserves the right to modify these Terms of Service at any time. We will provide notice of material changes by posting updated terms on our website and updating the "last updated" date.

Your continued use of our services after any such changes constitutes your acceptance of the new terms. If you do not agree to the modified terms, you should discontinue use of our services.

Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms will remain in full force and effect.

Entire Agreement

These Terms of Service, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and LunarPath regarding the use of our services and supersede all prior agreements and understandings.
